Terms of Use

These Terms of Use ("Terms") are a binding agreement between you and OpenMarkets Network Inc. ("OpenMarkets," "we," "us," or "our") governing your use of our websites, the OpenMarkets mobile application, and related services (collectively, the "Services"). Please read them carefully.

1Acceptance of terms

By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services. If you use the Services on behalf of an entity, you represent that you are authorized to bind that entity.

2Eligibility

You must be at least 18 years old (or the minimum age required by each connected partner, if higher), have the legal capacity to enter into these Terms, and not be barred from using the Services under applicable law. The Services may not be available in every jurisdiction, and certain features may be restricted based on your location. You are solely responsible for complying with the laws that apply to you, and you represent that your use of the Services is lawful where you are located.

3The Services

OpenMarkets provides aggregation and connectivity infrastructure that consolidates market information from third-party trading venues and unifies access to those venues and their interfaces in one place. We act as an aggregation and connectivity layer over the venues you choose to connect. Unless expressly stated in writing, OpenMarkets is not a broker-dealer, exchange, sportsbook, money services business, money transmitter, custodian, or counterparty to your trades, and does not hold or custody your funds — your funds and positions remain with the third-party venues you connect.

4Accounts & verification

You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. Identity and eligibility verification, where required, is performed by the connected partner venues under their own terms. We may refuse, suspend, or terminate access where required by law or our compliance obligations.

5Third-party venues

The Services let you connect accounts you hold at third-party venues so we can consolidate and display your information across them in one place. To use those features, you must have and maintain accounts in good standing with the relevant venues, and your use of each venue remains subject to that venue's own terms and policies. By connecting a venue, you authorize OpenMarkets to access your venue account and retrieve information at your direction; any transactions you choose to initiate are carried out with and by the connected venue under that venue's own terms. OpenMarkets is not responsible for the availability, pricing, execution, settlement, conduct, or solvency of any third-party venue, and we make no representation that any particular price, line, or order will be available or filled.

6No advice

The Services and any content we provide are for informational purposes only and do not constitute financial, investment, brokerage, tax, legal, or betting advice, or a recommendation or solicitation to enter into any transaction. You are solely responsible for your own decisions and should obtain independent professional advice where appropriate.

7Risk disclosure

Trading and related activity involve a substantial risk of loss and are not suitable for everyone. Prices can be volatile, and you may lose some or all of the funds involved. Past performance is not indicative of future results. We do not guarantee best price, availability, uptime, data accuracy, or any particular outcome at any venue. You assume all risk associated with your use of the Services and any transactions you initiate.

8Acceptable use

You agree not to:

• use the Services for any unlawful purpose or in any jurisdiction where they are prohibited;
• engage in market manipulation, fraud, money laundering, or other prohibited trading conduct;
• circumvent, disable, or interfere with security, rate-limiting, or access controls (ours or any venue's);
• scrape, reverse engineer, or build a competing service from the Services except as permitted by law;
• use another person's account or provide false information; or
• infringe the rights of others or violate any venue's terms.

9Fees

The Services are currently provided free of charge. If we introduce fees in the future, we will disclose them in the app or on our website before they apply, and any refunds will be governed by our Return & Refund Policy. Third-party venues may charge their own fees, which are governed by those venues.

10Intellectual property

The Services, including all software, content, and the OpenMarkets name and marks, are owned by OpenMarkets or its licensors and are protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. All rights not expressly granted are reserved.

11Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

12Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPENMARKETS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR TRADING LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED US$100 (the Services are provided free of charge). Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

13Indemnification

You agree to indemnify and hold harmless OpenMarkets and its affiliates, officers, and employees from any claims, liabilities, damages, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or third-party right.

14Termination

We may suspend or terminate your access to the Services at any time, with or without notice, including for violation of these Terms or where required for legal or compliance reasons. You may stop using the Services at any time. Provisions that by their nature should survive termination will survive.

15Governing law & disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. You and OpenMarkets agree that any dispute arising out of or relating to these Terms or the Services will be resolved in the state or federal courts located in Delaware, and each party consents to the personal jurisdiction of those courts. Nothing in this section limits any right you may have to bring a claim in your local jurisdiction where that right cannot be waived by law.

16Changes to these terms

We may update these Terms from time to time. We will post the updated version and revise the "Last updated" date above, and will provide additional notice where required. Your continued use of the Services after changes take effect constitutes acceptance.
